Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the OfferDesk website and services (the “Service”) provided by OfferDesk (“OfferDesk,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

The Service

OfferDesk provides software that classifies, extracts, and organizes data from real estate purchase agreements and related documents. The Service is a tool to assist licensed real estate professionals; it does not provide legal, financial, or real estate advice, and the output of the Service is not a substitute for human review of source documents.

Your content

You retain ownership of the documents and information you upload (“Your Content”). You grant OfferDesk a limited license to host, process, and display Your Content as necessary to provide the Service. You represent that you have the right to upload and share Your Content with the parties involved in each transaction.

Acceptable use

You agree not to:

• Use the Service in violation of any applicable law, regulation, or professional licensing rule.
• Upload content that infringes a third party’s rights or that you do not have permission to share.
• Attempt to access another tenant’s data, reverse engineer the Service, or interfere with its operation or security.
• Use the Service to send spam, phishing attempts, or other abusive communications.

AI output and human review

The Service uses automated extraction and machine learning models. Output may contain errors. High-stakes fields such as purchase price, closing date, and earnest money should always be verified against the source document by a qualified human before relying on them in a transaction. OfferDesk is not responsible for decisions made solely on the basis of automated output without human review.

Fees

If a portion of the Service requires payment, applicable fees and billing terms will be presented at the time of purchase. Fees are non-refundable except as required by law or as expressly stated.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if we determine, in our reasonable discretion, that doing so is necessary to protect the Service or its users.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EXTRACTED DATA WILL BE ACCURATE OR COMPLETE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OFFERDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
